BUSINESSOFFERS TERMS & CONDITIONS Effective Date: June 10, 2026 Version: 2.0 1. WHAT BUSINESSOFFERS IS — AND IS NOT BusinessOffers.com also referred to as BusinessOffers is a text-only marketplace that helps businesses discover and communicate about wholesale goods, services, partnerships, and other commercial opportunities. BusinessOffers is NOT: • A buyer or seller of goods or services • A payment processor • An escrow provider • A guarantor of transactions • A verifier of businesses, offers, or users • A provider of legal, financial, tax, or professional advice Any transaction entered into through the Platform is solely between the participating users. 2. ELIGIBILITY AND ACCOUNTS The Platform is intended for businesses and their authorized representatives. By using the Platform, you represent that: • You are at least the age of majority in your jurisdiction. • You are authorized to act on behalf of the business you represent. You are responsible for maintaining the security of your account and all activity that occurs under it. Certain guest-contact features may be available and are also subject to these Terms. 3. ACCEPTABLE USE You agree not to: Fraud and Deception • Post false, misleading, fraudulent, or deceptive information. • Impersonate any person or business. Data Misuse • Harvest, scrape, or collect user information except for legitimate business purposes. Spam and Abuse • Send spam, unsolicited bulk messages, chain messages, or harassing communications. Security Threats • Upload malware. • Attempt unauthorized access. • Interfere with Platform operations. Illegal Activity • Use the Platform for unlawful purposes. Prohibited Offers You may not post offers involving: • Illegal products or services • Counterfeit goods • Weapons or firearms • Controlled substances • Adult content • Gambling services • Pyramid schemes • Stolen property • Any activity prohibited by law BusinessOffers may remove content, suspend accounts, or terminate access at its discretion. 4. USER CONTENT AND OFFERS You retain ownership of content you submit to the Platform. By submitting content, you grant BusinessOffers a limited, non-exclusive license to host, store, display, and transmit that content as necessary to operate the Platform. You are solely responsible for: • Your content • The accuracy of your content • Your right to post the content The Platform is intended to be text-only. BusinessOffers may review, moderate, edit, or remove content but is not obligated to do so. 5. COMMUNICATIONS, MESSAGING, AND MODERATION Users communicate through the Platform messaging system. BusinessOffers does not share your email address or phone number with other users unless you choose to disclose them. Administrators may access message content for: • Safety • Moderation • Customer support • Legal compliance • Dispute investigation related to Platform usage BusinessOffers may remove or redact content that violates these Terms. 6. INFORMATION SHARED WITH OTHER USERS If you share personal information, business information, intellectual property, trade secrets, or confidential information with another user, you do so at your own risk. BusinessOffers does not provide confidentiality protection between users. If confidentiality is important, users should execute appropriate legal agreements such as Non-Disclosure Agreements (NDAs). 7. NO VERIFICATION, BACKGROUND CHECKS, OR TRANSACTION PROTECTION BusinessOffers does not conduct: • Background checks • Credit checks • Identity verification • Business verification • Due diligence reviews Unless explicitly stated otherwise. BusinessOffers provides: • No escrow services • No payment protection • No transaction guarantees • No refund services • No dispute resolution services Users are responsible for conducting their own due diligence. 8. PRIVACY BusinessOffers may collect: • Account information • Offer content • Message content • Guest-contact information • Technical and usage information Information may be used to: • Operate the Platform • Deliver communications • Verify email addresses • Provide support • Improve security • Comply with legal obligations Cookies and analytics technologies may be used. BusinessOffers does not sell personal information. Information may be shared with service providers that assist in operating the Platform. Data may be retained as necessary for operational, legal, and security purposes. 9. LEGAL REQUESTS AND DISCLOSURE BusinessOffers may access, preserve, and disclose information when reasonably necessary to: • Comply with applicable laws • Respond to legal process • Respond to governmental requests • Protect the rights, safety, or property of users or BusinessOffers 10. INTELLECTUAL PROPERTY COMPLAINTS If you believe content on the Platform infringes your intellectual property rights, contact BusinessOffers with sufficient information to identify the allegedly infringing material. BusinessOffers may investigate and remove content at its discretion. 11. AI-GENERATED CONTENT If BusinessOffers provides AI-generated summaries, recommendations, classifications, rankings, fraud indicators, or other automated outputs, such outputs are provided for informational purposes only. AI-generated content may be inaccurate. Users remain solely responsible for evaluating opportunities and making business decisions. 12. DISCLAIMERS The Platform is provided “AS IS” and “AS AVAILABLE.” BusinessOffers makes no warranties, express or implied, including warranties of: • Merchantability • Fitness for a particular purpose • Non-infringement BusinessOffers does not guarantee: • Platform availability • Platform security • Platform accuracy • User legitimacy • Offer legitimacy Featured listings, rankings, and recommendations do not constitute endorsements. 13. LIMITATION OF LIABILITY To the maximum extent permitted by law, BusinessOffers and its operators shall not be liable for: • Indirect damages • Incidental damages • Special damages • Consequential damages • Punitive damages • Lost profits • Lost revenue • Lost business opportunities • Lost data • Losses arising from dealings with other users BusinessOffers’ total liability shall not exceed the greater of: (a) US$100, or (b) The amount paid by the user to BusinessOffers during the twelve (12) months preceding the event giving rise to the claim. 14. INDEMNIFICATION You agree to indemnify and hold harmless BusinessOffers.com, Business Offers LLC and any of their office bearers, operators, affiliates, employees, contractors, and agents from claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from: • Your use of the Platform • Your content • Your transactions with other users • Your violation of these Terms • Your violation of applicable laws 15. SUSPENSION AND TERMINATION BusinessOffers may suspend or terminate access to the Platform at any time and for any reason. BusinessOffers may: • Remove content • Disable accounts • Restrict access Provisions that should survive termination will continue in effect. 16. CHANGES TO THESE TERMS BusinessOffers may modify these Terms at any time. Updated versions will be posted with a revised effective date. Material changes may be communicated by email. Continued use of the Platform constitutes acceptance of revised Terms. 17. GOVERNING LAW AND DISPUTES These Terms shall be governed by the laws of the State of New Jersey, United States, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Platform shall be resolved exclusively in state or federal courts located in New Jersey. Users consent to the jurisdiction of those courts. 18. SERVICE AVAILABILITY AND FORCE MAJEURE BusinessOffers may modify, suspend, or discontinue any portion of the Platform at any time. BusinessOffers shall not be liable for failures or delays caused by events beyond its reasonable control, including: • Natural disasters • Cyberattacks • Utility failures • Internet outages • Government actions • Third-party service failures 19. GENERAL PROVISIONS Entire Agreement These Terms constitute the entire agreement between the user and BusinessOffers. Severability If any provision is determined unenforceable, the remaining provisions shall remain in effect. No Waiver Failure to enforce any provision shall not constitute a waiver of that provision. Assignment Users may not assign these Terms without written consent. BusinessOffers may assign these Terms in connection with a sale, merger, or transfer of the Platform.
